Terms for purchasing music licenses in the Little Dance Fans shop. The offer is directed exclusively at businesses and institutions.

§ 1 Scope
These General Terms and Conditions (GTC) apply to all contracts for the acquisition of music licenses and custom-song services concluded via the website of Little Dance Fans (hereinafter the "Provider"). The offer is directed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal persons under public law and special funds under public law. Consumers within the meaning of § 13 BGB are not addressees of the offer. By placing an order, the customer confirms that they are acting in the exercise of their commercial or independent professional activity.
§ 2 Formation of Contract
The presentation of the licenses in the shop does not constitute a binding offer but an invitation to submit an offer. By clicking the order button during the ordering process, the customer submits a binding offer to acquire the selected license. The contract is concluded upon confirmation of the order or upon provision of the download. The contract text is not stored separately; the relevant details result from the order confirmation and the license certificate.
§ 3 Prices and Value-Added Tax
All prices are net, plus the applicable statutory value-added tax (VAT). For customers from Germany, German VAT at the currently applicable rate of 19% is shown. For businesses from the rest of the EU with a valid VAT identification number, invoicing is carried out under the reverse-charge procedure without VAT; the tax liability passes to the recipient of the service ("reverse charge — recipient liable for tax"). Services to customers from Switzerland and other third countries are not taxable in Germany.
§ 4 Payment
Payment is made via the payment methods offered during the ordering process, in particular PayPal and credit card. The invoice amount is due immediately upon conclusion of the contract. The download is provided after payment has been received in full.
§ 5 Provision and Delivery
The license content is provided as a digital download. For each song, the customer receives a ZIP file containing a preview image (JPG), the audio recording (MP3 and WAV), the lyrics (TXT) and the license certificate (PDF). The certificate contains an individual serial number, the licensed songs and the term. Provision takes place immediately after receipt of payment. Delivery on physical data media does not take place.
§ 6 Scope of License
The scope of the granted rights of use is governed by the License Terms, which form part of this contract. A simple, non-transferable right of use for public performance within the licensed field of use is granted. In particular, resale, sublicensing, editing of the recordings, and use for broadcasting, streaming services or advertising spots without a separate agreement are not permitted.
§ 7 Creation of the Tracks, Ownership of Rights and GEMA Status
(1) The idea, concept and lyrics of the offered tracks originate from Little Dance Fans. Composition and audio recordings are produced using artificial-intelligence systems and are editorially selected, reviewed and compiled by the Provider.
(2) The Provider holds all rights required for granting the rights of use under § 6.
(3) Neither the Provider nor any persons involved in the creation of the tracks are members of GEMA or any other domestic or foreign collecting society. The tracks are not registered with any collecting society and are not administered by any collecting society. For the granting and the contractually compliant exercise of the licensed rights of use, the customer owes the Provider no recurring remuneration or royalties beyond the one-time license fee.
(4) The statements in paragraph 3 are statements of quality (Beschaffenheitsangaben). No guarantee in the legal sense is assumed; liability is governed by § 10.
(5) Reporting, notification or remuneration obligations of the customer towards collecting societies that arise from the performance of other music not licensed by the Provider, or from the customer's existing blanket or overall agreements, remain unaffected by this contract and must be fulfilled by the customer on their own responsibility.
§ 8 Term
The license is acquired, at the customer's choice, with a term of one year or two years from the date of purchase. The term results from the license certificate. There is no automatic renewal; upon expiry, the right of use ends. Renewal is possible at any time by purchasing again.
§ 9 Right of Withdrawal
As the offer is directed exclusively at entrepreneurs, there is no statutory right of withdrawal for consumers. Further information is provided in the Right of Withdrawal notice.
§ 10 Warranty and Liability
The statutory warranty provisions apply. The Provider is liable without limitation for damages arising from injury to life, body or health, and for damages based on intent or gross negligence. In the case of simple negligence, the Provider is liable only for the breach of a material contractual obligation (cardinal obligation), the fulfilment of which makes the proper performance of the contract possible in the first place and on the observance of which the customer may regularly rely. In such a case, liability is limited to the foreseeable damage typical of the contract. Otherwise, liability is excluded. Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.
§ 11 Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from this contractual relationship is Cologne, provided the customer is a merchant, a legal person under public law or a special fund under public law. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected.
